Many employment attorneys are often asked to review or draft employment agreements. Some terms, such as describing base compensation and benefits, identifying duties and responsibilities, restrictive covenants, and basic employment termination provisions, can be relatively straightforward. But when the agreement is with an executive employee, the details of certain provisions, such as terms addressing incentive compensation, equity awards, severance triggers and payments (including in the context of a change in ownership of the company), and taxes, are more complex. This session will provide practical tips for issue spotting, negotiating, and drafting executive employment agreements, including guidance on some of the more complex provisions that are often included in private and public company executive employment agreements.
